1. Provider
The Ticket Marketplace website and the services sold on it are provided by:
Tidiane Hubert, sole trader (entrepreneur individuel, EI) trading as DataMarketLab
French company number (SIREN) 837 840 255 · SIRET 837 840 255 00025
Registered address: 4 rue Copernic, 33270 Floirac, France
EU VAT number: FR32 837 840 255
Contact: huberttidiane@gmail.com
Hereinafter "the Provider" or "DataMarketLab".
2. Purpose and scope
These general terms of sale ("Terms") govern every service ordered on the Ticket Marketplace website: fixed-price modules ("tickets") and custom projects.
Our services are for businesses only: the Client confirms it is ordering for the purposes of its trade, business or profession. These Terms form the basis of the commercial relationship within the meaning of Article L441-1 of the French Commercial Code.
Placing an order means accepting, without reservation, the Terms in force on the date of the order. They prevail over the Client's own purchasing terms unless the Provider agrees otherwise in writing.
If an order is placed by a consumer or by anyone not acting for business purposes, the Provider may cancel it and refund it in full.
3. Definitions
- Client: the business placing the order.
- Module: a service with a fixed scope, turnaround and price, described on its card in the catalogue ("Included" and "Not included").
- Ticket: an ordered Module. Every Module purchased becomes a Ticket.
- Custom project: a service outside the catalogue, covered by a written proposal.
- Board: the space where the Client follows its Tickets (queue, in progress, delivered).
- Deliverable: the work handed over to the Client at the end of a Ticket.
- Access: the logins, user permissions, files and information needed to complete a Ticket.
- Business days: Monday to Friday, excluding public holidays in mainland France.
4. Services
Each Module includes what is shown on its card at the time of the order. Anything listed under "Not included", or not expressly listed under "Included", is outside the Module.
The Provider works inside marketplace seller back-offices (Mirakl, Amazon Seller Central and others). Marketplaces alone make their own decisions: the Provider does not guarantee that an account will be reinstated, a restricted category approved, an application accepted, or any search ranking or sales volume.
Custom projects are covered by a written proposal (scope, price, timing, payment terms). They are governed by that proposal and, for everything else, by these Terms.
5. Ordering and online contract formation
Ordering takes four steps: (1) the Client enters its details, (2) describes its problem, (3) chooses one or more Modules, (4) reviews the summary (Modules, price excluding VAT, VAT and total) on the payment page, where it can correct its details or go back to change its basket, then confirms payment.
The contract is formed once payment is confirmed. The Client then receives a receipt and an invoice by email. The contract may be concluded in French or English. The Provider keeps orders and invoices for 10 years; the Client can get a copy on request. These Terms can be viewed, printed and saved at any time from the website footer.
As both parties are businesses, they agree, in accordance with Article 1127-3 of the French Civil Code, that the contract is validly formed through the process above, including to the extent it departs from Articles 1127-1 and 1127-2 of that code.
If, after reading the request, the Provider considers that a Ticket falls outside what it does, it tells the Client within 2 business days and refunds it in full.
The Provider may limit the number of new Clients it takes on each month.
6. Prices and payment
The price list is the one shown in the website catalogue. Prices are in euros and exclude VAT. They may change at any time; the applicable price is the one shown when the order is placed. No discounts apply other than offers expressly shown on the website.
VAT is added at the applicable rate based on the Client's billing address:
- Clients established in France: French VAT at 20%.
- Clients established in another EU Member State with a valid VAT number: invoiced without VAT and marked "Reverse charge", VAT due by the Client (Article 283-2 of the French General Tax Code and Article 196 of Directive 2006/112/EC).
- Clients established outside the EU: invoiced without French VAT (Article 259-1° of the French General Tax Code).
Modules are payable in full, upfront, when ordering, by card or any other method offered on the payment page, which is operated by Stripe. The Provider never has access to card details. No discount is given for early payment.
For amounts invoiced after the work (custom projects in particular), late payment automatically incurs interest at three times the French statutory interest rate, plus a fixed recovery fee of €40 (Articles L441-10 and D441-5 of the French Commercial Code).
7. How a Ticket works
- One active Ticket at a time. The Client's other Tickets wait in its queue, in the order it chooses. The Client can reorder Tickets that have not started.
- First contact. The Provider gets back to the Client within 24 business hours of payment to tell it which Access is needed.
- Turnaround. The turnaround shown on the Module card (24, 48 or 72 business hours) starts once all requested Access and information has been received.
- Delays. If the Provider exceeds that turnaround by more than 5 business days for reasons within its control, the Client may cancel the undelivered Ticket and receive a full refund.
8. Client obligations
- Provide accurate and complete information, and send the requested Access within 5 business days. After that, the Ticket is paused and the next Ticket in the queue starts.
- A Ticket paused for more than 90 days without a reply from the Client may be closed, after an email reminder left unanswered for 15 days. Amounts paid are then kept by the Provider, which reserved a place for that Ticket.
- Create a dedicated user for the Provider in its seller account, with only the permissions needed, and delete it after delivery. The Client never shares its own password.
- Remain responsible for its products, their content (text, images, certificates, supplier data), their compliance, and for following the rules of the marketplaces it sells on.
- Approve, before publication, any content or decision that commits its account when the Provider asks it to.
9. Delivery, revision and acceptance
The Deliverable is handed over on the Board and/or by email. One revision is included per Ticket, within the original scope of the Module. It must be requested within 7 days of delivery.
If the Client sends no written, reasoned objection within 7 days of delivery, the Ticket is deemed accepted.
10. Out-of-scope work
If the Client's needs go beyond the scope of the Module, the Provider says so before going further and offers an additional Module at the listed price, or a custom project. No extra work is charged without the Client's prior approval.
11. Cancellation and refunds
As our services are for businesses only, the consumer right of withdrawal does not apply. The Provider nevertheless offers the following:
- A Ticket still in the queue (not started) can be cancelled by simple written request and is refunded in full.
- A Ticket that has started is not refundable, except in the cases set out in sections 5 and 7 or if the Provider fails to perform.
Refunds are made to the original payment method within 14 days.
12. Liability
The Provider has an obligation of means (best efforts), not of result. It applies its expertise and professional standards to every Ticket.
The Provider is not liable for:
- decisions, rules, outages or changes made by marketplaces or third-party tools (Lengow, BeezUP, ERPs, the Client's software, etc.);
- the consequences of inaccurate, incomplete or unlawful information, files or content provided by the Client;
- indirect losses, such as loss of revenue, margin, customers or data, or loss of opportunity.
In any event, the Provider's total liability for a Ticket is limited to the amount, excluding VAT, paid by the Client for that Ticket. This limit does not apply in case of gross negligence or wilful misconduct.
Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code.
13. Confidentiality and access
The Provider keeps the Client's information confidential (Access, catalogue, figures, exchanges with marketplaces) and uses it only to complete the Tickets ordered. It uses Access only while the Ticket is open and within the permissions granted.
The Provider only names the Client as a reference with its written consent.
14. Intellectual property
Once paid in full, the Client may freely use, modify and publish the Deliverables made for it (product listings, mappings, plans of action, applications), worldwide and for the full term of the rights.
The Provider keeps its methods, tools, templates and know-how, which it may reuse freely, but never the Client's own data or content.
15. Personal data
Client data is processed in accordance with our privacy policy.
Where a Ticket gives the Provider access to personal data for which the Client is the controller (for example its buyers' orders or contact details in a seller account), the Provider acts as a processor under Article 28 of the GDPR, on the following terms:
- Subject and duration: completing the Ticket, for its duration. Nature and purpose: viewing and editing data in the seller account, only where the Ticket requires it. Data and data subjects: identity, contact details and orders of the Client's buyers and contacts.
- The Provider processes this data only on the Client's documented instructions (the Ticket order and written exchanges) and tells the Client if an instruction appears to breach data protection law.
- Everyone who processes this data is bound by confidentiality.
- The Provider applies appropriate security measures (Article 32 GDPR): access through a dedicated user with limited permissions, no export outside the seller account unless the Ticket requires it, no copies kept.
- The Client gives general authorisation for the independent experts mentioned in section 16, who are bound by the same obligations; the list of people involved is provided on request.
- The Provider helps the Client respond to data subject requests and meet its security obligations, and notifies it of any personal data breach within 48 hours of becoming aware of it.
- At the end of the Ticket, the Provider deletes any data that may have been exported and keeps no copy.
- It makes available to the Client the information needed to demonstrate compliance with these obligations.
16. Subcontracting
The Provider may assign all or part of a Ticket to independent experts it selects, who are bound by the same confidentiality obligations. The Provider remains solely responsible to the Client for the Ticket.
17. Changes to these Terms
The Provider may change these Terms at any time. The Terms that apply are those in force on the date of the order.
18. General provisions
- Evidence: the Provider's and Stripe's electronic records (orders, payments, emails, Board history) are binding between the parties unless proven otherwise.
- Independence: the parties act independently; neither can bind the other.
- No waiver: not enforcing a clause does not waive the right to enforce it later.
- Severability: if a clause is held void or unenforceable, the others remain in force.
19. Governing law and disputes
These Terms and the contracts they govern are subject to French law. This English version is a translation; the French version prevails in case of discrepancy.
In case of dispute, the party raising it sends a written complaint to the other, and the parties try to settle amicably for 30 days. Failing agreement, the dispute is brought before the courts of Bordeaux, France, to the extent the law allows such a choice of court (including under Article 25 of Regulation (EU) No 1215/2012); otherwise, before the court determined by the ordinary rules.
